PLEASE READ THIS SOFTWARE LICENSE AGREEMENT CAREFULLY. BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE YOU INDICATE ACCEPTANCE OF AND AGREE TO THE TERMS AND CONDITIONS OF THIS AGREEMENT.

AGREEMENT.  This software license agreement (the “Agreement”) is made between tangentum technologies (the “Licenser”) and you (the “Licensee”).

SOFTWARE.  For the purpose of this Agreement, the computer software program(s) and supporting documentation supplied by the Licenser will be referred to as the “Software.”

LICENSE.  The Licensee has distinct options to use the Software (“License”):

GRANT OF LICENSE.  Subject to payment of applicable License fees, the Licenser grants the Licensee a non-exclusive, non-transferable right to use the Software according to the chosen License in the manner described in this Agreement.

COPYRIGHT.  The Software is owned by the Licenser and protected by copyright laws and international treaty provisions. Where the Licenser does not hold any copyright of the Software or parts thereof, the Licenser nevertheless owns the rights permitting transfer to and use of the same by third parties. Therefore, you must treat the Software like any other copyrighted material. You may not make the Software or copies thereof available in any manner or form, or use, copy, or transfer the Software, in whole or in part, except as provided herein.

COPIES.  The Licensee may make copies of the Software provided that any such copy is created as an essential step in the utilization of the Software in accordance with the License and this Agreement, or is only for archival purposes to back-up the licensed use of the Software. All trademark and copyright notices of the Licenser must be faithfully reproduced and included on copies made by the Licensee. The Licensee may not make any other copies of the Software.

RESTRICTIONS.  The Licensee shall not decompile, disassemble, or otherwise reverse engineer the Software.

TERMINATION.  This Agreement and the License granted hereunder will terminate automatically if the Licensee fails to comply with the limitations described herein. Upon termination, the Licensee must destroy all copies of the Software.

LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT OR OTHERWISE, SHALL LICENSER OR IT'S SUPPLIERS OR RESELLERS BE LIABLE TO LICENSEE, OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, PROFIT, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL LICENSER BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT LICENSER RECEIVED FROM LICENSEE FOR A LICENSE OF THE SOFTWARE, EVEN IF THE LICENSER SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY RESULTING FROM LICENSER'S NEGLIGENCE TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS EXCLUSION AND LIMITATION MAY NOT APPLY.

Should any provision of these terms and conditions of use be or become invalid in whole or in part, the other provisions shall remain in force. Any invalid provision shall be deemed replaced by a valid provision which accomplishes, as far as legally possible, the economic effects intended by the invalid provision.
